JOB SUMMARY

The Assistant General Counsel – Government Contracts assists General Counsel with legal issues arising in Huntsville, Alabama, and, as requested, in other Calista locations, and provides legal counsel to the Yulista Holding, LLC, team and, as requested, other Calista entities. This position will be responsible for performing legal research, drafting documents, keeping client files up to date, and managing the engagement of outside counsel for Huntsville-based matters, including protests, Department of Labor claims, and acquisitions. This position resides within the Calista Corporation Legal Department but, on a day-to-day basis, takes direction from the President of Yulista Holding, LLC, and his designees. Supervision of this position is shared by the Calista General Counsel and the Yulista Holding President.

ESSENTIAL FUNCTIONS

  • Research and analyze the law on complex issues and writing briefs for submission.

  • Analyze and summarize complicated legal documents, including contracts, and suggesting alterations to those documents.

  • Perform discovery of various electronically stored data and hard copies of information in preparation for litigation.

  • Perform due diligence in legal matters concerning contracts, agreements, and mergers and acquisitions.

  • Draft legal texts, including reports, contracts, and appeals.

  • Litigation developments and strategy.

  • Work with Yulista Holding LLC team on Client and Vendor Agreements.

  • Interact with internal business groups, external customers, vendors, and strategic partners to provide counsel and timely updates on various legal and contractual issues.

  • Ensure that data obtained during interactions with clients remain confidential and are stored securely.

  • As required, assist corporate and holding line Human Resources departments with in-house personnel matters and investigations that require interviews.

  • Maintain current knowledge of relevant legal principles, practices and trends.

  • Ensure quality and timeliness of legal advice.

  • Support the continuous improvement of legal processes to promote efficiency.

  • Undertake special projects as required to support new business initiatives.

  • Develop, review, revise, and maintain corporate policies and charters.

  • Maintain compliance with Alabama State Bar Association licensure requirements for continuing legal education.

  • Work in a constant state of alertness and in a safe manner.

  • Perform other duties as assigned.

SUPERVISORY RESPONSIBILITIES:

This position has no supervisory responsibilities.

Job Requirements:
KNOWLEDGE, SKILLS, & ABILITIES:

  • Strong knowledge of the Constitution, statutes, court decisions, state and federal laws and regulations.

  • Strong knowledge of legal codes, court procedures, precedents, executive orders, agency rules, and the democratic political process.

  • Strong knowledge of government contracting, SBA 8(a) contracting, joint ventures, mentor protégés, partnerships and mergers, labor law, human resources law, the federal Miller Act and any Alabama state version of it, and Alabama state statutes, regulations, and principles.

  • Knowledge of legal methods and processes, including the administrative regulation promulgation process, legislative drafting, and the legislative process.

  • Ability to analyze legal documents and interpret laws, regulations, and policies.

  • Ability to conduct administrative hearings.

  • Ability to provide leadership, counsel, motivation, and constructive feedback to others. 

  • Strong decision analysis and problem-solving skills; ability to detect unobvious facts, draw conclusions, and justify decisions.

  • Excellent interpersonal skills; ability to maintain effective working relationships with fellow employees, other agencies, subsidiary and corporate affiliates, the public, and the federal government.

  • Excellent technical writing skills; ability to draft and edit a wide variety of technical documents including contracts, policies, letters, etc.

  • Ability to multi-task and prioritize workload; Effective change management skills.

  • Must be detail oriented; superior organizational, information management, and follow-up skills.

  • Ability to learn and understand corporate policies/procedures and how they relate to parent company and holding line goals.

  • Well-developed professional oral and written communication skills sufficient to engage in sound, clear, effective, and well-reasoned discussions with internal and external customers, and provide back-up documentation/information. Ability to effectively engage in public speaking.

  • Ability to use standard business computers, with considerable knowledge of business applications including Microsoft Office Suite.

  • Ability to work safely.

  • Ability to perform basic mathematical computations.

  • Ability to participate in and facilitate group meetings.

  • Ability to work a flexible schedule as needed.

  • Ability to operate a motor vehicle in a safe and efficient manner.

MINIMUM QUALIFICATIONS:

  • Juris Doctorate (JD) from an ABA accredited law school.

  • License to practice law by the Alabama Bar Association or ability to obtain license by reciprocity within six months of hire.

  • Minimum five years of legal experience required, previous experience or education in government contracting, corporate, commercial, securities and employment law preferred.

  • Valid state driver’s license and be qualified to operate a vehicle under the conditions of parent and holding line Driving Policy.

  • Ability to pass a drug and background screening.

WORKING ENVIRONMENT

Calista Corporation’s Legal Department is a fast-paced, multi-tasking, customer service-oriented office environment requiring a high degree of efficient and effective performance.  Adaptability regarding schedule and task changes is necessary to accommodate changing priorities.  Overtime may be required. Professional business appearance required.
